1. Call to Order/Welcome

The Presiding Officer, Douglas McCarthy, called the meeting to order at 10:05 a.m. and welcomed all present.

The Registrar provided a brief biographical introduction for each Council member. He thanked Monique Châteauvert, whose term on Council will end on July 8, 2015, for the work she had contributed to Council.

2. Agenda (GC20150706-64)

It was moved by Matthew Kavanagh, seconded by Robert Gagné, and

CARRIED,

That the Agenda for the July 6, 2015 Inaugural Meeting of the 7th Council be approved.

3. Conflict of Interest

No conflicts were declared.

4. Registrar’s Report (GC20150706-65)

The Registrar’s Report was received. The Registrar spoke to his report and informed members that his reports during the 7th Council term would be structured around the College’s four strategic priorities which play a role in focusing the operational planning and resource allocation of the organization.

The Registrar noted that there were currently three appointed member vacancies and that with Monique Châteauvert’s appointment concluding on July 8, 2015, there would be four appointed member vacancies on Council. In addition, he noted that the positions for both the Northeast full-time and Northeast part-time/full-time positions had failed to generate eligible candidates in the last election. He advised that the Governance Committee would interview eligible candidates for these positions and make recommendations to Council in November.

The Registrar advised that the Governance Committee had been created by merging the Election and Nomination Committees effective July 1, 2015. In addition to assuming the mandates of these committees, the new Governance Committee is tasked with providing guidance on issues of governance and risk management and ensuring that the Council and the College function in accordance with the relevant legislation and regulations and the bylaws of the College and that it fulfils its fiduciary responsibilities.

The Registrar informed members that some of the key elements they would be asked to consider over the next three years would include providing policy direction on the following items:

  • Enhanced teacher education program
  • Independent review recommendations
  • Public awareness initiative
  • A revised Professional Learning Framework

The outgoing Chair of Council, Liz Papadopoulos, addressed the members of the 7th Council. She spoke specifically about the purpose and significance of the “talking stick” that had been presented to Council in 1997 at its inaugural meeting by the British Columbia College of Teachers. She congratulated all the members on being elected or appointed to Council.

5. Nomination Committee Report (GC20150706-66)

The report of the Nomination Committee was received. The Chair of the Nomination Committee, Irene Dembek, spoke to the report.

She noted that the Nomination Committee had met on June 11th to review the committee membership questionnaires received from Council members. The questionnaire requested members to indicate their interest in standing for the position of Chair or Vice-Chair of Council and to indicate their interest in serving on the various committees of Council. Newly elected and appointed members were asked to consider committee options on the basis of interest, expertise and time commitment. Returning elected and appointed members were encouraged to continue their participation on previous committees in order to provide much-needed continuity.

The committee considered the following factors in its deliberations for each of the committees:

· continuity of committee membership

· a minimum of two committees for each Council member

  • council member prioritization

· related experience, background and availability

  • bilingual capacity
  • gender balance
  • language
  • workload
  • new member mentoring

· writing ability in an adjudicative context

5.1 Election of Chair of Council

The Chair of the Nomination Committee noted that the Chair of Council is a full-time position effective July 6, 2015 to June 30, 2018. She noted that expressions of interest to serve as Chair of Council had been received from four Council Members:

  • Angela De Palma
  • Matthew Kavanagh
  • Robert Ryan
  • Vicki Shannon

The Chair of the Nomination Committee, called for further nominations from the floor. No further nominations were received.

Irene Dembek advised Council members that each Chair candidate would be entitled to address Council for a maximum of five minutes. Names were drawn by Irene Dembek to determine the speaking order of the candidates.

Each of the Chair candidates addressed Council members.

Ballots were distributed to Council members. The ballot count was conducted by staff of the College and overseen by the Chair of the Nomination Committee. Ballots were distributed three times to determine the successful Chair candidate. At the conclusion of each ballot, the number of votes cast, spoilt votes, and the number of votes each candidate received was announced. At the conclusion of the balloting process, Angela De Palma received the most number of votes cast.

Angela De Palma assumed the role of Chair at 11:30 a.m. and thanked members for their support.

Terry Price thanked Liz Papadopoulos for her leadership and all she had done for Council over the past six years. He requested that Council members raise money for the outgoing Chair’s favourite charity.

It was moved by Jean-Luc Bernard, seconded by Myreille Loubert, and

CARRIED,

That Council approve that the ballots associated with the position of Chair be destroyed.

5.2 Election of Vice-Chair of Council

The Chair of the Nomination Committee noted that expressions of interest to serve as Vice-Chair of Council had been received from six Council members:

  • Shanlee Linton
  • Myreille Loubert
  • Sara Nouini
  • Robert Ryan
  • Nicole van Woudenberg
  • Wes Vickers

Sara Nouini and Robert Ryan withdrew their nominations for Vice-Chair.

The Chair of the Nomination Committee called for further nominations from the floor. No further nominations were received.

The Chair of the Nomination Committee advised Council members that each Vice-Chair candidate would be entitled to address Council for a maximum of three minutes. Names were drawn by Irene Dembek to determine the speaking order of the candidates.

Each of the Vice-Chair candidates addressed Council members.

Ballots were distributed to Council members. Ballots were distributed twice to determine the successful Vice-Chair candidate. The ballot count was conducted by staff of the College and overseen by the Chair of the Nomination Committee. At the conclusion of the balloting process, Myreille Loubert received the most number of votes cast.

It was determined that Richard Michaud was not present on the teleconference line and therefore a roll call vote to confirm Myreille Loubert’s appointment was not necessary.

It was moved by Irene Dembek, Chair of the Nomination Committee, and

CARRIED,

That Council appoint Myreille Loubert, OCT, as Vice-Chair of the7th Council of the Ontario College of Teachers effective
July 6, 2015.

It was moved by Terry Price, seconded by Robert Ryan, and

CARRIED,

That Council approve that the the ballots associated with the position of Vice-Chair be destroyed.

Myreille Loubert assumed the role of Vice- Chair at 12:10 p.m. and thanked members for their support.

5.3 Appointment of Committee Members

The Chair of the Nomination Committee noted the names of Council members selected to serve on the Accreditation Committee and asked if there were any additional nominations from the floor. No additional nominations were received.

6. Committee Meetings to Nominate Chairs

The Chair of the Nomination Committee noted that Council is responsible for the appointment of committee Chairs who will serve for the duration of the term of the seventh Council.

She noted that the Council meeting would recess so that each committee could convene for the purpose of nominating a Chair for their respective committees. She advised that candidates for committee chair would have up to two minutes to address committee members. Candidate speeches will be followed by a secret ballot, if required. The balloting process was explained to the members.

Staff distributed a schedule of committee meeting times and locations.

The meeting recessed at 1:15 p.m. and resumed at 2:20 p.m.

The Speaker thanked Irene Dembek for the work she and the Nomination Committee had done in preparation for the Inaugural meeting.

8. Future Meetings of Council and the Executive Committee – 2015-2018

8.1 Proposed Schedule of Meeting Dates (GC20150706-67)

That Council approve the Council and Executive Committee meeting dates from July 2015 to June 2018 as outlined in document GC20150706-67.
